Has Vertu Capital's proposed acquisition of VCB Capital been planned from the very beginning ??

Not according to the Vertu Capital Limited listing prospectus, it states that,

"Currently, there are no plans, arrangements or understandings with any prospective target company or business regarding the Acquisition "

So, let's look at some of the facts - 

The name of William Du's newly listed acquisition company is Vertu Capital Limited.

Its ticker symbol on the LSE is VCBC which sounds an awful lot like VCBCapital the company that they are considering buying ... does it not ??

The personalties of VCB Capital are all very closely linked to William Du.

CEO of VCB is Roslina Binti Ibrahim and we believe is the mastermind behind this entire fraud. 

She is currently a Director at Aries Telecoms PLC this is the alleged holding company of Aries Telecoms Berhad and was just recently successfully blocked from relisting on the London Stock Exchange.

She has been a director at Zavarco PLC (fka Vasseti PLC) from 25 Nov 2013 until 29 June 2014. She resigned just before the telco asset V Telecoms was stolen from the holding company. 

She has been a director at Open Fibre Sdn Bhd another key company named at the heart of the ongoing fraud proceedings by the shareholders. 

She has also been a director at Zavarco Berhad (fka Vasseti Berhad) from 19 Aug 2013 until 29 Aug 2014. So, she was the director of this company before and after the misappropriation of V Telecoms.

VP at VCB is Shailen Gajera aka Shailen Popatlal - 

He too appears to be at the heart of all those legal proceedings for the fraud against the shareholders of Zavarco PLC.

He was the CTO at Paneagle Communications. Paneagle was renamed to V Telecoms.

He was Vice President for V Telecoms.

He is named in the Malaysian legal proceedings as being the beneficial owner of the following companies. Which in turn are listed as major shareholders in Zavarco PLC and Open Fibre Sdn Bhd.

Primawin Limited (BVI Company)
China Finance Limited (Samoa Company)
Arab Emirates Capital Limited (BVI Company)

Again all these companies are incorporated in countries with strict privacy laws and this appears to be a growing trend for these people to make sure they are concealing their identities.

William Du aka Kiat Wia Du -

He is a Director at V Telecoms (nka Aries Telecoms) since 2010 which again is at the heart of the Vasseti Zavarco PLC fraud. 

His V Telecoms fund (Ingenious Growth Fund) and its investors don't seem to have been affected or have any complaints about being defrauded from the misappropriation of V Telecoms.

More reasons why you should consider NOT investing in Vertu Capital Limited ( VCBC )

Yesterday, I showed you legal proceedings taking place in the UK and Malaysia for theft & fraud and the victims are the shareholders of Vasseti Zavarco PLC,  but if that wasn't  a good enough reason .. then here's another ... Transparency ... and its lack of.

Vertu Capital Limited is a registered Cayman Islands company and it is an EXEMPTED company.

What does exempted mean ?
  • The names of the shareholders of an exempted company are not required to be filed with the Registrar of Companies and an exempted company need only have one shareholder.
  • The annual reporting requirements are minimal and consist only of a statement, signed by the company secretary or a director, that the operations of the exempted company have been carried out mainly outside of the Cayman Islands, that the provisions of Section 193 of the Companies Law have been complied with (Section 193 precludes an exempted company from trading in the Cayman Islands except in furtherance of its business carried on outside the Cayman Islands) and that any bearer shares are held by a custodian.
  • An exempted company is permitted to issue "no par value" shares.
  • An exempted company is not required by law to hold a general meeting of its members.
Not a lot of transparency there ...

Who are they ? We don't know, because there all hiding behind BVI companies where the privacy laws are strict. 

Ask yourself the question, If you don't know who owns the company and you can't contact other shareholders then do you really believe your money is going to be safe here ??

Keeping it in the family at Vertu Capital Ltd ??

Just announced, William Du's acquisition company Vertu Capital Ltd, which is currently listed on the London Stock Exchange. Has just announced that it has signed a letter of intent to buy ........wait for it.... VCB Capital in Malaysia !!!!

"Vertu Capital has announced that it has entered into a non-binding letter of intent (LOI) with BVS Trinity for the proposed acquisition of the entire issued share capital of VCB Malaysia Berhad, a company incorporated in Malaysia.
Under the LOI, the Target will be acquired for a consideration of GBP350,000 payable in cash on completion."

All new to the blog and have questions about the fraud PLEASE read this post....

Due to the launch of the Aries Telecoms Infinity broadband 1GBPS service this week. We have received numerous emails from people asking about the fraud. This blog post is to hopefully highlight and clarify why we are here ....

First, and to the best of our knowledge Aries Telecoms fka V Telecoms has not defrauded its customers.

What is the blog for ?

This blog is to highlight the theft and fraud that has befell the shareholders of Vasseti PLC nka Zavarco PLC. Vasseti PLC is the holding company for Vasseti Berhad (M).  V Telecoms Berhad (M) nka Aries Telecoms Berhad (M) is a 100% subsidiary of Vasseti Berhad. The group was floated on the Frankfurt Stock Exchange and was finally delisted from the exchange on the 27th April 2015 where upon the company directors cited the most dishonest and ludicrous of reasons.

In short, the company was stolen from the Vasseti group and its shareholders and millions of shareholders money has been stolen with it.  Innocent people have had millions defrauded from them in order to build their Telecom business and Telco network that you see and use today, but instead of rewarding the shareholders for their loyalty and trust they decided it would be smarter to just steal their money. 

What is being done about it ?

In the UK,

To the best of our knowledge reports have been filed with the UK Police for fraud. 

A shareholder, Peter Blomqvist has been battling it out in the UK Courts to try and retake control of the company from the UK side.

Most recently - Blomqvist v Zavarco Plc (March 2016): Appearing for the claimant in a Companies Court trial where the issues were whether the issue of 7 billion shares in a plc was authorised by the company and as to the validity of the claimant's notice calling a general meeting to replace the directors. - Awaiting Judgement.

During 2015, Aries Telecoms PLC attempted to float the company back on a Stock Exchange this time the London equivalent the AIM and with a group effort we were able to block this action. We are led to believe from our Malaysian contact that they are again gearing up to try and list the company.
  
In Germany, 

Complaints of fraud have been filed with the Frankfurt Stock Exchange regulators BaFin and an investigation is in progress.

In Malaysia, 

To the best of our knowledge reports have been filed with the Malaysian Police for fraud.

Ranjeet Singh Sidhu past CEO of the Vasseti Group and major shareholder took great effort to shut down the the perpetrators of this fraud with a winding up petition during 2015.

Tan Sri Syed Mohd Yusof Bin Tun Syed Nasir, past Chairman and major shareholder who bought a 30% stake in Vasseti during 2010, along with Ranjeet Singh Sidhu, have jointly filed a class action suit for all the shareholders and this can be found here. The action is ongoing.
